Charter of ICOMOS International Conservation Centre in Xi'an
(Abbreviated as IICC-X)
Chapter I General Provisions
Article 1 Name: ICOMOS International Conservation Centre in Xi’an (abbreviated as IICC-X, hereinafter referred to as "the Centre").
Article 2 The Centre is an international organization with independent legal person status, dedicated to cultural heritage conservation, training of professionals engaged in conservation, management, interpretation and related technologies, technical research and development of cultural heritage conservation and planning projects, and consultancy services for cultural heritage initiatives.
Article 3 The objectives of the Centre are as follows: to abide by the Constitution, other laws, regulations and policies of the People's Republic of China; to acknowledge and comply with the statutes, charters and other relevant documents of the International Council on Monuments and Sites (ICOMOS); and to focus primarily on the planning, research and training of cultural heritage conservation projects in the Asia-Pacific region.
Article 4 The competent authorities of the Centre are the International Council on Monuments and Sites (ICOMOS), the National Cultural Heritage Administration of China, the People's Government of Xi'an Municipality, and the Chinese National Committee of the International Council on Monuments and Sites (China ICOMOS).
Chapter II Scope of Business
Article 5 Business positioning of the Centre: As a conservation centre affiliated with ICOMOS, the Centre undertakes planning, research and personnel training for cultural heritage conservation. In particular, it promotes and disseminates the Xi'an Declaration on the Conservation of the Setting of Monuments, Sites and Historic Areas, establishes an international cooperation and research base for cultural heritage conservation along the Silk Road, and explores the connection between traditional craftsmanship and modern conservation science. The Centre will focus on projects in the Asia-Pacific region, carry out research and training by leveraging the strengths of ICOMOS' global expert network, and contribute to the cause of cultural heritage conservation in China through participation in global conservation projects.
Article 6 The scope of business of the Centre includes: training of management and technical personnel for cultural heritage conservation; technical research on cultural heritage conservation and planning projects; provision of consultancy services for cultural heritage conservation projects.
Chapter III Governing Bodies
Article 7 Steering Committee. As the leadership and decision-making body of the Centre, the Steering Committee shall coordinate and guide all work undertaken by the Centre.
Article 8 Scientific Advisory Committee. This body shall provide advice and guidance on thematic research and conservation theories; participate in the consultancy services and cooperation programs of the Centre; and provide support for professional training activities.
Article 9 The Director shall be responsible for the day-to-day management of the Centre, and shall be assisted by one Executive Deputy Director and three to five Deputy Directors. All these officials shall constitute the Management Committee.
Article 10 The Director, Executive Deputy Director and Deputy Directors shall be appointed after consultation between the People's Government of Xi'an Municipality and the National Cultural Heritage Administration of China, and upon approval through discussion by the ICOMOS Executive Committee and the Steering Committee of the Centre. The Executive Deputy Director shall take charge of the daily operation of the Centre and serve as the legal representative of the Centre concurrently.
Article 11 The Director shall be responsible for the overall coordination between IICC and relevant international and national authorities, as well as the overall work of the Centre.
Article 12 The Deputy Directors shall assist the Director and the Executive Deputy Director in their work, organize and implement specific affairs of the Centre, and coordinate the relations between the Centre and other cooperating entities, especially the ICOMOS Secretariat.
Chapter IV Organizational Structure
Article 13 The Centre shall have three subordinate departments: the Secretariat, the Training Department and the Project Department. Additional departments may be established in light of development and operational needs.
Chapter V Principles for Asset Management and Use
Article 14 The funds of the Centre are derived from: 1. Sponsorships and remunerations from cultural heritage conservation, planning and training projects; 2. Appropriations from the People's Government of Xi'an Municipality; 3. Public donations; 4. Other legitimate income.
Article 15 The funds of the Centre must be used within the scope of business specified in this Charter, and shall be devoted to the development of cultural heritage conservation in accordance with the relevant principles of ICOMOS.
Article 16 The Centre shall establish a strict financial management system to ensure the legality, authenticity, accuracy and completeness of accounting documents, and shall submit financial reports to cooperating entities.
Article 17 The asset management of the Centre shall comply with the financial management systems stipulated by China, and shall be subject to the supervision of the Steering Committee, the General Assembly and the fiscal authorities. The income and expenditure of the Centre, including government funding and public donations, shall be subject to the supervision of audit authorities, cooperating entities and members, and relevant information shall be disclosed to the public through appropriate channels.
Article 18 Prior to the change of term or the replacement of the legal representative, the Director and the legal representative must undergo a financial audit organized by the registration and administration authority, the competent business authority and the affiliated entity.
Article 19 No entity or individual may seize, privately distribute or misappropriate the assets of the Centre.
Article 20 The salaries, insurance and welfare benefits of the full-time staff of the Centre shall be implemented with reference to the relevant provisions of China on public institutions.
Chapter VI Procedures for Amendment of the Charter
Article 21 Amendments to this Charter shall take effect upon examination and consent of the competent business authority and relevant entities, approval by the social organization registration and administration authority of the Ministry of Civil Affairs, and consultation with ICOMOS.
Chapter VII Termination Procedures and Disposition of Assets upon Termination
Article 22 Prior to the termination of the Centre, a liquidation organization shall be established under the guidance of the competent business authority and relevant entities to sort out claims and debts and handle follow-up matters. During the liquidation period, no activities other than liquidation shall be carried out.
Article 23 The remaining assets of the Centre after termination shall be used for the development of causes aligned with the purposes of the Centre in accordance with the relevant provisions of China, under the supervision of the competent business authority, relevant entities and the social organization registration and administration authority of the Ministry of Civil Affairs.
Chapter VIII Supplementary Provisions
Article 24 In the event of any conflict between the provisions of this Charter and national laws and regulations, as well as the relevant provisions of ICOMOS, the national laws and regulations of China and the relevant provisions of ICOMOS shall prevail.
Article 25 The drafted Charter shall be submitted to the national administrative authority for industry and commerce of China for examination, verification and record-filing.
Article 26 This Charter shall come into force as of the date on which the Business License for Enterprise Legal Person is issued by the administrative authority for industry and commerce.
